Terms of Service

1. Acceptance of Terms

By accessing or using the SoliDecision platform ("Service"), operated by SoliDecision ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SoliDecision is a decision-intelligence platform that provides structured decision workflows, AI-guided coaching, risk assessment, and executive dashboards. The Service is available via web application at app.solidecision.com.

3. Accounts and Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You may not share your account with others or create multiple accounts for a single person.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Tiers and Billing

The Service is offered under multiple subscription tiers (Free, Pro, and Enterprise), each with defined usage limits for decisions per month, AI calls per month, and maximum team members. Current limits are displayed on our pricing page.

  • Free tier — no payment required; subject to usage limits.
  • Paid tiers — billed monthly or annually as selected at checkout. You may request a full refund within 14 days of any payment, no questions asked. After 14 days, all fees are non-refundable. Refunds are processed within 14 business days. See our Refund Policy for details.
  • Overages — if you exceed your tier's limits, access to the exceeded feature will be paused until the next billing cycle or until you upgrade.
  • Changes — we may modify pricing with 30 days' notice. Existing subscriptions will honor their current pricing until renewal.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any laws.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Upload malicious code, viruses, or any content designed to harm the Service or its users.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use the Service to compete with SoliDecision or to build a competing product.
  • Scrape, crawl, or use automated tools to access the Service without written consent.

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, documentation, and branding, is owned by SoliDecision and protected by intellectual property laws. These Terms grant you no rights to our trademarks, logos, or brand identity.

6.2 Your Content

You retain all ownership rights to the decisions, criteria, notes, and other content you create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you.

6.3 AI-Generated Outputs

Outputs generated by our AI features (coaching questions, structured summaries, risk assessments) are derived from Your Content. You may use these outputs freely within your organization. We do not claim ownership of AI-generated outputs produced from your inputs.

7. AI Features Disclaimer

AI-powered features are provided as decision-support tools, not as professional advice. AI outputs may contain inaccuracies, hallucinations, or incomplete analysis. You are responsible for verifying and validating all AI-generated content before relying on it for business decisions. SoliDecision does not guarantee the accuracy, completeness, or fitness of AI outputs for any particular purpose.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described therein.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SoliDecision shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or relating to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Warranty Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

  • You may terminate your account at any time by contacting us or using the account settings.
  • We may suspend or terminate your access if you violate these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it may be permanently deleted.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance. If you disagree with the updated Terms, you must stop using the Service.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or in the courts of competent jurisdiction.
